  • RIGHT TO MAKE CHANGES TO THE AGREEMENT

We provide our members access to the Websites subject to the following Terms of Use, which may be updated without notice. By accessing and using the Websites, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Use and our Privacy Policy, which is hereby incorporated by reference (collectively, this “Agreement”). If you do not agree to any of these terms, then please do not use the Websites.

  • USER GUIDELINES – RULES, RESTRICTIONS AND REQUIREMENTS

Any user who registers with us (each, a “Registered User”) and wishes to purchase a product or service through one of our Websites, is agreeing to the terms of this Agreement and the accompanying Terms and Conditions of Purchase with respect to such product or service. In the event of any conflict between the terms of this Agreement and the Terms and Conditions of Purchase, the Terms and Conditions of Purchase shall control.

THE SECTIONS BELOW TITLED “BINDING ARBITRATION” AND “CLASS ACTION WAIVER” CONTAIN A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. THEY AFFECT YOUR LEGAL RIGHTS. PLEASE READ THEM.

Capitalized terms not defined in these Terms of Use shall have the meaning set forth in our Privacy Policy.

II. 1.  Description and use of our Websites

We provide Visitors and Registered Users with access to the Services as described below.

Visitors. Visitors, as the term implies, are people who do not register with us, but want to explore the Websites. No login is required for Visitors. Visitors can: (i) view all publicly-available content on the Websites; and (ii) email us.

Registered Users. Registered Users can do all the things that Visitors can do, and: (i) purchase products and services through one of our Websites; (ii) access exclusive content available only to Registered Users; (iii) create, access, manage, and update their own personal accounts on the Websites; (iv) post comments and other content on the Websites (collectively, “Registered User Content”); (v) sign up for our various programs; (vi) sign up for alerts and other notifications; and (vii) become part of the Mrs.V community.

Mrs V is under no obligation to accept any individual as a Registered User and may accept or reject any registration in its sole and complete discretion. In addition, Mrs V may deactivate any account at any time, including, without limitation, if it determines that a Registered User has violated these Terms of Use.

II. 2.  Community Guidelines

Mrs V’s community, like any community, functions best when its users follow a few simple rules. By accessing and/or using the Websites, you agree to comply with these community guidelines (the “Community Guidelines”) and that:

You will comply with all applicable laws in your use of the Websites and will not use the Websites for any unlawful purpose;

  • You will not upload, post, email, transmit, or otherwise make available any content that:
    • infringes any copyright, trademark, right of publicity, or other proprietary rights of any person or entity; or
    • is defamatory, libelous, indecent, obscene, pornographic, sexually explicit, invasive of another’s privacy, promotes violence, or contains hate speech (i.e., speech that attacks or demeans a group based on race or ethnic origin, religion, disability, gender, age, veteran status, and/or sexual orientation/gender identity; or
    • discloses any sensitive information about another person, including that person’s email address, postal address, phone number, credit card information, or any similar information.
  • You will not “stalk,” threaten, or otherwise harass another person;
  • You will not spam or use the Websites to engage in any commercial activities;
  • If you post any Registered User Content, you will stay on topic;
  • You will not access or use the Websites to collect any market research for a competing business;
  • You will not impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity;
  • You will not interfere with or attempt to interrupt the proper operation of the Websites through the use of any virus, device, information collection or transmission mechanism, software or routine, or access or attempt to gain access to any data, files, or passwords related to the Websites through hacking, password or data mining, or any other means;
  • You will not cover, obscure, block, or in any way interfere with any advertisements and/or safety features (e.g., report abuse button) on the Websites;
  • You will not use any robot, spider, scraper, or other automated means to access the Websites for any purpose without our express written permission; provided, however, we grant the operators of public search engines permission to use spiders to copy materials from the public portions of the Websites for the sole purpose of and solely to the extent necessary for creating publicly-available searchable indices of the materials, but not caches or archives of such materials;
  • You will not take any action that imposes or may impose (in our sole discretion) an unreasonable or disproportionately large load on our technical infrastructure; and
  • You will let us know about inappropriate content of which you become aware. If you find something that violates our Community Guidelines, please let us know, and we’ll review it.

We reserve the right, in our sole and absolute discretion, to deny you access to the Websites, or any portion of the Websites, without notice, and to remove any content that does not adhere to these Community Guidelines.

II. 3. Restrictions

The Websites are only available for individuals aged 13 years or older. If you are 13 or older, but under the age of majority in your jurisdiction, you should review this Agreement with your parent or guardian to make sure that you and your parent or guardian understand it.

II. 4. Sign-in Name; Password; Unique Identifiers

During the registration process for Registered Users, we will ask you to create an account, which includes a sign-in name (“Sign-In Name”), a password (“Password”), and perhaps certain additional information that will assist in authenticating your identity when you log-in in the future (“Unique Identifiers”). When creating your account, you must provide true, accurate, current, and complete information. Each Sign-In Name and corresponding Password can be used by only one Registered User, and sharing your access credentials with others (especially if they are using your credentials to access our proprietary Content (as defined below)) is a material breach of this Agreement. You are solely responsible for the confidentiality and use of your Sign-In Name, Password, and Unique Identifiers, as well as for any use, misuse, or communications entered through the Websites using one or more of them. You will promptly inform us of any need to deactivate a Password or Sign-In Name, or change any Unique Identifier. We reserve the right to delete or change your Password, Sign-In Name, or Unique Identifier at any time and for any reason and shall have no liability to you for any loss or damage caused by such action.

  1. 5. Entire Agreement

Before You register with Our website or make any purchases therefrom, You will be asked to consent to Our Privacy Policy. If You have consented, or once You do consent, the terms of the Privacy Policy together with these Terms and Conditions, the information contained herein constitutes the entire agreement between site users and Our company relating to the use of this website.

  1. 6. Law and Jurisdiction

You agree that any dispute related to these Terms will be governed by the laws of New South Wales, excluding its conflicts of law provisions. In the event of any dispute related to these Terms that is not subject to binding arbitration, you and Mrs V will submit to the personal jurisdiction of and exclusive venue in the federal and state courts located in and serving New South Wales as the legal forum for any such dispute.

If any part of these Terms and Conditions of Use and Privacy Policy is deemed unlawful and/or unenforceable, all other provisions contained herein will remain in full force and effect.

III. MEMBER TERMS

These Success Membership Terms govern the application for Mrs.V Success Membership. It is your responsibility to review these Terms prior to your application for a Success Membership. By applying for Success Membership you agree to be bound by these Terms. We reserve the right to amend these Terms at any time, and will provide the most recent version on our website.

Throughout these Terms, the terms “Mrs V”, “we”, “us” and “our” refer to Business Mrs V and its associated entities, and “you” refers to the individual or business purchasing a Success Membership.

  • 1. Application for Success Membership

1.1. Our current Success Membership descriptions, entitlements and pricing will always be stated on our website located at https://mrsv.com.au/.

1.2. All applications for Success Membership must be made by filling out the form on our Website. This will create a Success Membership account for you.

1.3. All information you provide during the application process must be accurate and complete, and it is your responsibility to keep your details up to date.

1.4. We will only process completed applications, and reserve the right to reject an application for any reason.

1.5. It is your sole responsibility to maintain the confidentiality of any password you create for accessing your account.

1.6. We will send you a confirmation email on payment of the applicable Success Membership Fee. Your Success Membership is deemed accepted on the day you receive the email.

1.7 We reserve the right to decline or cancel any membership at the our own discretion.

III. 2. Success Membership Fee

2.1. The Success Membership Fee may be paid by either:

2.1.1. A single upfront annual payment via credit card on our Website; or

2.1.2. An ongoing monthly direct debit, payable monthly in advance.

2.2. If you wish to pay your Success Membership Fee over the telephone, an administration fee will be charged.

2.3. We may increase the Success Membership Fee from time to time. If we do so, we will give you at least one month’s notice of the intended increase by email and by notice on our Website.

2.4. Minimum commitment is 3 months from initial joining date. If paying monthly, once the 3 month term has passed, your commitment is month by month. If paying annually, your fees are non refundable if you wish to cancel your Success Membership early.

2.5. As a Success Member you have access to a range of member benefits which will change from time to time. 

III. 3. Auto Renewal

3.1. If you pay annually, your Success Membership will be automatically renewed each year, on the anniversary of the date you joined Mrs V(Anniversary) unless you wish to terminate your Success Membership subscription. If you pay month by month, your Success Membership subscription will continue month by month until such time you wish to terminate.

3.2. The Success Membership Fee for the forthcoming year will be charged to the same credit card you used on joining, unless you specify otherwise.

3.3. If you wish to terminate your Success Membership, you must give us notice at least 5 days prior to the Anniversary. If we do not receive notification from you, your Success Membership shall be auto-renewed and the applicable Success Membership Fee payable.

III. 4. Refunds

4.1. The Success Membership Fee is not refundable.

4.2. Mrs V may offer a refund in special circumstances on a case-by-case basis. If you feel that you deserve a refund, you must contact us in writing outlining the circumstances to our Success Membership Experience Executive support@mrsv.com.au. We will then review your correspondence and advise our decision in writing.

  2. 1. Personal Information provided by you during the Success Membership application process and throughout the duration of your Success Membership will be held and dealt with in accordance with our Privacy Policy, which is available on our Website.
  3. 2. Without limiting our Privacy Policy, you consent to:
  4. 3.  Your identifying details being made accessible to other Members on our Website; and
  5. 4. Receiving commercial emails from us and our approved third party providers.

You may modify the level of information available on our Website and opt-out of emails by logging into your account settings and editing your preferences, or by notifying us directly.

  1. CONDUCT

V.1. Mrs V does not take any responsibility or liability whatsoever for disputes between Members.

V.2. There are sections of our Website that are accessible to logged in Members and website visitors. These sections may include message boards, forums, directory listings and the ability to direct message other Members. By being a Premium Member you give authority for some or all of your profile data to be made public. When accessing those sections, you must not:

V.2.1. harass, abuse or harm other Members;

send spam or other unwelcome communication to other Members

V.2.2. act in an unlawful, abusive, defamatory, discriminatory or otherwise objectionable manner; or

V.2.3. infringe the intellectual property rights of others, including those of Members or third parties.

V.3. Should you attend a Mrs V Event, you must abide by our Event Terms which are available on our Website. Without limiting the Event Terms, you acknowledge that Mrs V films and photographs every event. You consent to being filmed or photographed by Mrs V (or its representatives) and to Mrs V using your name, likeness, image and/or voice in such photographs or films for the purpose of promoting our events, services and products. No remuneration is payable for such use.

V.4. We may revoke your Success Membership for any reason, including for breach of these Terms or for bringing Mrs V into disrepute.

VI. INTELLECTUAL PROPERTY

All images, text, designs, graphics, trademarks, and service marks are owned by and property of Mrs V or the properly attributed party (the “Intellectual Property”). It is a violation of federal law to use any of the Intellectual Property in whole or in part, and modification of any materials contained on this site is illegal and may be prosecuted to the fullest extent permissible should We choose to do so, including asking for financial penalties (damages) and/or an injunction forcing You to stop using Our intellectual property immediately.

You may use Our Intellectual Property with clear and obvious credit back to Our site, as well as links back to the page where the materials, designs, images, text, quote, or post is located when it is appropriate to do so. However, You may never claim any of Our intellectual property as Your own or Your unique creation, even with attribution, or use any Intellectual Property within the Offering that is attributed to a third-party.

VII. REQUEST FOR PERMISSION TO USE CONTENT

It is Your responsibility to secure Your username and password from theft or any other means of unauthorized use that would violate these Terms and Conditions of Use. We do not store any whole credit card numbers or payment information, and instead, these are processed through third-party processors such as Stripe, PayPal, or Woo Commerce. By utilizing these payment processors to gain access to the Offering, You indemnify Us and instead assume any and all risk or liability for the security of the payment details, and agree to be bound by the third-party payment processor’s applicable terms and conditions of use.

  1. CONFIDENTIALITY

You have no right to confidentiality unless otherwise explicitly stated, such as in a subsequent client agreement, or otherwise implicitly agreed upon as mandated by law or fiduciary duty.

  1. ASSUMPTION OF RISK

By accessing Our Offering and/or related materials, whether paid or unpaid, You assume all the risk of Your access and any subsequent actions You choose to take as a result of the influence, information, or educational materials provided to You.

Any communications made through Our ‘contact’, blog, blog comments, newsletter sign up, or other related pages, or directly to Our phones or mailing or email addresses is not held privileged or confidential and is subject to viewing and distribution by third parties. XIV. TERMINATION OF THE AGREEMENT

If at any time We feel You have violated these Terms and Conditions, then We shall immediately terminate Your use of Our website, Offerings and any related communications as We deem appropriate. It is within Our sole discretion to allow any user’s access of Our website, and We may revoke this access at any time without notice, and if necessary, block Your IP address from further visits to Our site(s)
